18. Binding Arbitration (Optional Opt-Out)
Please read this section carefully. It affects your legal rights.
Except for disputes that qualify for small-claims court and except for claims to enforce or protect our intellectual property rights, any dispute, claim, or controversy arising out of or relating to these Terms, your use of this website, or your stay at the Grand Colonial Bed and Breakfast that cannot be resolved informally shall be resolved by final and binding individual arbitration, rather than in court, administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitration shall take place in Herkimer County, New York, or by video or telephonic hearing where permitted by the AAA Rules. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
The class action waiver in Section 9 applies in arbitration: you and we each agree that disputes will be resolved on an individual basis only, and not on a class, collective, consolidated, or representative basis.
30-Day Opt-Out. You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of (a) the first date you accepted these Terms, or (b) the effective date of this Section 18, whichever is later. Your notice must include your full name, mailing address, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.
If any portion of this Section 18 is found to be unenforceable, that portion shall be severed and the remainder of this Section shall continue in effect, except that if the class action waiver is found unenforceable, then this entire Section 18 shall be null and void and the parties shall proceed in court.
19. Assignment
You may not assign, transfer, or delegate these Terms or any of your rights or obligations under these Terms, in whole or in part, without our prior written consent, and any attempted assignment without such consent will be null and void. We may freely assign or transfer these Terms and our rights and obligations under these Terms, in whole or in part, to any successor, affiliate, or acquirer of all or substantially all of our business or assets, without notice to you or your consent.
20. No Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision, and no waiver of any provision shall be effective unless made in writing and signed by an authorized representative of E2W, LLC. A waiver on any one occasion shall not be construed as a waiver on any future occasion. The exercise of any right or remedy under these Terms shall not preclude the exercise of any other right or remedy available to us at law or in equity.
